KDM CLEANING INC., a National Corporation, agrees to perform as an independent contractor, the following services as described in this agreement.

1. RESPONSIBILITIES OF KDM CLEANING INC

A) Unless specified in the janitorial service agreement, KDM CLEANING INC. will furnish all labor, cleaning chemicals and equipment, and other items necessary to carry out the terms of this contract.
B) KDM CLEANING INC. will furnish qualified and experienced service workers and supervisors to carry out the work to be performed under this contract. KDM CLEANING INC. will comply with all instructions pertaining to the conduct and building regulations issued by the manager, Owner, or other appointed official designated by Owner. KDM CLEANING INC. will at all times enforce the finest of discipline and maintain good order among the workers. All workers will observe all fire prevention, security, and safety rules and regulations per the Occupational Safety and Health Act (OSHA) of 1970, yours, and KDM CLEANING INC.’s standards.
C) KDM CLEANING INC. will provide supervision at all times for work being performed under this contract to ensure the completion and satisfactory performance in accordance with the terms of the contract.
D) KDM CLEANING INC. agrees to comply with all federal, state, and municipal laws, rules, and regulations that are now (or may be in the future) applicable to KDM CLEANING INC.’s business, equipment, and personnel engaged in operations. KDM CLEANING INC. will take all precautions necessary and will maintain all lights, guards, signs, temporary passages, or other protection necessary for work place safety.

2. INSURANCE
KDM CLEANING INC. will keep in force, until the expiration of this contract, and renewal of, adequate insurance as follows, which will protect you from claims arising out of or resulting from the KDM CLEANING INC.’s operations under the contract.

3. EMPLOYMENT PRACTICES
A) KDM CLEANING INC. operates in compliance with all federal, state, and city laws, rules, and regulations relating to labor relations, fair employment practices, pay rates, safety, and similar rules and regulating. All work will be performed in compliance with the requirements of OSHA. KDM CLEANING INC. is in full compliance with all Equal Employment Opportunity (EEO) provisions as required by law, regulation, or executive order, specifically but not limited to the provisions of Executive Order 11246 of September 24, 1965 as amended and the Immigration Reform and Control Act of 1986, requiring proof of legal authority to work in the United States.
B) The Drug Free Work Place Act of 1988 and any similar regulating will be strictly enforced. All personnel will be carefully interviewed and screened.
C) All personnel will abide by all building regulations and safety rules, which may be revised from time to time.

4. DAMAGE
KDM CLEANING INC. will make reasonable and prompt restitution, by cash, replacement, or repairs for any damage for which KDM CLEANING INC. is liable.

5. KEEPING GOOD RELATIONS

KDM CLEANING INC. will conduct its services as to preserve good relations with Owner and/or manager and tenant. Individual’s whose conduct is contrary to a consistent good quality or good relationship will be terminated immediately.

6. NOTICES
Any notice required shall be in writing and shall be either sent by mail or hand-delivered to the parties at the addresses indicated herein.

7. INTENT OF SPECIFICATIONS
It is the intent of this specification that the facility be kept neat and clean at all times. These specifications should, therefore, be referred to as a guide for, rather than a limitation to, the services provided to maintain the building effectively. The facility will be kept at an optimum level.

8. STAFF
A) Staffing will perform the necessary work to maintain the optimum level of cleanliness as heretofore specified in "Specifications."
B) Staffing shall be increased as required to accomplish any periodic maintenance herein specified without decreasing the level of the nightly janitorial services. All costs for such increased staffing are considered to be included in the initial proposal submittal attached.
C) KDM CLEANING INC. may be called upon periodically by Owner and /or manager to perform work not herein specified. Such work will be classified as a contract extra and will be billed separately.

9. CLEANING PERSONNEL
Personnel will be neat and clean in appearance and uniformed and properly identified. We will not open drawers or cabinets, use telephone, televisions, or radios, or disturb paper on desks. Workers will not eat, drink, or smoke while performing their duty. They will also abide by building rules and safety regulations. Office cleaning will be done behind locked doors. Upon completion of daily work, the KDM CLEANING INC. personnel will ensure that all slop sinks and equipment storage areas are left in a neat and orderly condition with all lights extinguished and all doors locked (unless otherwise directed).

10. SUPERVISION
KDM CLEANING INC. will provide supervisory staff assigned exclusively to the Building as required to maintain the optimum level of cleanliness. Only competent supervisory personnel with proven performance records will be employed. The supervisory staff will not leave the premises until all work is completed each night. All supervisory staff will go through and pass KDM CLEANING INC.’s national training program.
In addition to the supervision of all cleaning services, the supervisory staff will be responsible for the following:
A) Instructing personnel in the extinguishing of all lighting as soon as possible and locking doors each night.
B) Securing all suite entrances and Building entrances. All services within office areas shall be done with entry door locked at all times. Under no circumstances will an employee of KDM CLEANING INC. admit any persons to the building.
C) Immediate transmission of all accident and/or damage reports to Management by entering same in the Building’s Cleaning Log Book.
D) KDM CLEANING INC.’s supervisory staff will comply with and assist where appropriate the Building’s security staff in enforcing the security plan, as this plan relates to the activities of the janitorial crew.
E) KDM CLEANING INC.’s supervisory staff shall be available on request by Owner and/or manager during normal business hours to visit any suite to answer questions relation to its operation.
F) Maintain the Communications Log Book, which will be kept in a designated place on the premises in which a record shall be made promptly of any occurrences requiring building management attention. Management will use this same log to enter reported or observed cleaning discrepancies. Employees of KDM CLEANING INC. will report in the Log Book any observed substandard conditions such as leaking faucets, clogged toilets and drains, broken fixtures, etc. They will also report any unusual happenings in the Building.

11. SUPERVISION MANAGEMENT (Area Manager)
In addition to the supervisory staff assigned to the direct supervision of the janitorial crews, KDM CLEANING INC. shall provide an area manager whom shall make periodic scheduled and unscheduled visits to the Building, both during the normal business hours and when the nightly janitorial services are being performed. The purpose of these visits is to ensure the maintenance of the optimum level of cleanliness as previously defined herein.

12. UNIFORMS
KDM CLEANING INC. will provide uniforms at its sole expense, subject to approval by the property manager, for all employees.


13. EQUIPMENT
Unless specified in the janitorial service agreement, KDM CLEANING INC. will provide all equipment necessary for the cleaning of the Building in accordance with the specifications. All equipment will be stored in areas designated by manager and kept in a clean and neat condition by KDM CLEANING INC. at all times.
